1. Introduction

Welcome to Kopi ("we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website located at kopidev.com (the "Service") and our software products, including the Kopi CLI tool.

Kopi is operated as a Sole Trader business registered in Scotland.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Accounts & Security

When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password and any security keys (WebAuthn) or recovery codes that you use to access the Service. You agree not to disclose your password or recovery codes to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. License & Use

Community Edition: The Kopi Community Edition CLI is open-source software distributed under the MIT License. You are free to use, modify, and distribute it in accordance with the license terms provided in the GitHub repository.

Professional / Enterprise Edition: Access to these editions is granted under a limited, non-exclusive, non-transferable commercial license. You may not reverse engineer, decompile, or attempt to derive the source code of the proprietary Enterprise components.

Acceptable Use: You agree not to use the Service or Software to access, modify, or disrupt any database or system for which you do not have explicit authorization.

Important Liability Disclaimer

The Kopi software is provided "AS IS", without warranty of any kind, express or implied. Kopi interacts directly with your databases. While we have implemented safeguards to prevent accidental data loss (such as connection string checks), you acknowledge that you use this software entirely at your own risk. We shall not be liable for any damages, including but not limited to loss of data, business interruption, or loss of profits, arising out of the use or inability to use the software.

4. Early Access & Beta Services

We may offer certain features or software versions as "Early Access" or "Beta" (collectively, "Beta Services"). You acknowledge that Beta Services are under development, may contain bugs or errors, and may be subject to change without notice. We provide no warranty that Beta Services will be free from defects or that they will be made generally available.

5. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Kopi and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kopi.

6. Links To Other Web Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by Kopi.

Kopi has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Kopi shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

7. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Scotland, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
